Any contract or matter entered into by the directors of a company registered under "The Companies Statute 1864" (No. 190), which does not either expressly or by reasonable implication come within the objects for which the company was established, as stated in its memorandum of association reading it as a whole, is ultra vires of the directors, and must be deemed to be prohibited by the Legislature. No action by the company can be brought either upon it or to secure an interest springing directly out of it.
